 LISENCING POLICES(2016

 

1. Licensing Principles

Guangzhou Digital Rise Technology Co., Ltd. (hereinafter referred to as "our company") licenses  patent while license is valid patents and patent pending.

In principle, our companys  patent licenses are ordinary non-exclusive.

2. Licensing principles

Our company is under the principle of Fair, Reasonable and Non-discriminatory, called FRAND, to license  patent owned.

3. Licensing object

 patent licensing is mainly for digital audio and video-related manufacturers, including chip manufacturers, terminal product manufacturers and other professional equipment manufacturers.

3.1. “Chip vendorprovides that specially refers to terminal product manufacturers or professional equipment manufacturers with their required chip products as the professional manufacturers.

3.2. "Terminal Manufacturers" refer to brand vendors or producers that are for digital audio and video related end-users market (ie, the average consumer) to manufacture terminal products (such as televisions, set-top boxes, auto audio and video equipments, etc.).

3.3. “Professional Equipment Manufacturerspecializes in the manufacture or sale of digital audio and video related professional equipment (such as encoders, monitoring equipment, satellite receiving equipment, etc.) of brands or manufacturers.

4. Licensing process

4.1. First time licensing application materials

4.1.1. Registration in China

Copy of business license with company seal

Business Tax Registration Certificate copies with company seal

First Time Client Information Form (See the attachment)

Authorization Letter for contract-signing(See the attachment)

Other required documents by our company

4.1.2. Non-registration in China

Company legal proof of existence with the signature of legal representative of the company and seal

First Time Client Information Form (See the attachment)

Authorization Letter for contract-signing(See the attachment) with the signature of legal representative of the company and seal

4.2. Application licensing process

4.2.1. Chip Manufacturer

Chip Manufacturers have two options:

Option 1:

Pay off our patent license; 

Option 2:

No need to pay and apply for our promotion of cooperation. Specific procedures are as follows:

Submit application materials--Sign the NDA

--Choice to pay, apply for our patent licenseSign  patent license agreement

--Choice not to pay and apply for promotion of cooperationSign  technical promotion and cooperation agreement.

If chip manufacturer choose to pay off our patent license, they shall submit materials in accordance with the article 4.1 and directly apply for a  patent licensing and signing our companys  patent licensing contract-chip manufacturersand to pay royalties based on the contract. In this case, the terminal manufacturers do not need to apply for our royalties.

If chip manufacturers choose not to pay and apply for the promotion of cooperation, in addition to mentioned article 4.1 to submit materials, and regarded as do not obtain our  patent license, they shall sign our  technical promotion and cooperation agreement. According to the agreement, chip manufacturers shall integrate our  technology, we provide  authentication services.

4.2.2. Terminal manufacturers

Terminal manufacturers buy or use products (including chips, software, etc) that are chip manufacturers signed  technical promotion and cooperation agreementwith us. The terminal manufacturers shall sign  patent licensing contract-terminal product. Specific procedures are as follows:

4.2.3. Professional Equipment Manufacturers (encoders, monitoring equipment, professional reception equipment, etc)

Professional equipment manufacturers shall sign  patent licensing contract-Professional equipmentbefore using our  patented technology. Specific procedures are as follows:

Submit application materials--Sign the NDA--Sign  patent licensing contract

After the submission of complete application materials from  patent licensing application manufacturers, in principle our company will review the  patent licensing application information within 10 working days.

 

5. Standard of  patent licensing fee

5.1. Terminal manufacturer and chip manufacturer

5.1.1. Chip manufacturer obtains  patent licensing:

Chip manufacturer: each chip product charges for 1 RMB

Terminal manufacturer: No charge

5.1.2. Chip manufacturer do not obtain  patent licensing, it shall only reach to promotion of cooperation:

Terminal manufacturer: each terminal product charges for 1 RMB.

5.2. Professional equipment manufacturer

Professional encoder: each product charges 500 RMB (its audio output is no more than four ways, beyond this limit, every four ways as a licensed product, and less than four ways will be treat it as four ways)

 

6. Supplementary provisions

This policy will be effective from 07/01/2016(MM/DD/YY). The policy announced before that is inconsistent with this policy, this policy shall prevail.

As of the effective date of this policy, licensed manufacturers can choose to re-license current agreement in accordance with this policy, or can also choose to continue to fulfill the original agreement.

Matters not specified in this policy shall, unless otherwise agreed, implement in accordance with relevant laws and regulations.

Attachment is an important part of this policy.

Our company reserves the right to interpret and revise this policy.
